Agile was retained by this closely held business with two owners to provide a liquidity event for two non-operational owners that were entering retirement. The business was coming off one of its strongest years ever, and the senior management team was interested in finding a buyer that wanted to build a larger company.

The operational changes Agile assisted in implementing allowed the shareholders to sell the business with a significantly higher valuation as they maintained the level of free cash despite losing their largest client.

Maximizing Shareholder Value

  • We encountered a material problem after launching our initial marketing phase of the business since the Company, unfortunately, lost one of its largest clients that represented almost twenty percent of revenue.
  • Given the impact of losing this client, we mutually decided to stop our process and moved away from a banking role and more towards a management consulting role. Numerous operational issues needed to be addressed to maintain the same level of EBITDA moving into the new fiscal year.  
  • We right-sized the business through a series of cost-cutting initiatives, acted as the buy-side advisor for a tuck-in acquisition that brought additional enterprise clients, and ultimately exceeding the forecasted numbers in the fiscal year.
