Our sell-side M&A engagements typically involve:

  • Advising and assisting our clients in analyzing and evaluating their business model, operations, and financial position;
  • Defining M&A objectives, performing a valuation analysis, and structuring the transaction;
  • Assisting in the preparation of an offering memorandum to be utilized in discussions with prospective participants in the transaction;
  • Identifying a comprehensive list of potential strategic and financial buyers;
  • Overseeing management presentations and the due diligence process;
  • Working with the client’s attorneys to review all requisite documents;
  • Negotiating the terms and conditions of the transaction; and

Buy Side

Our buy-side M&A engagements typically include:

  • Working with the client to devise an M&A strategy that takes into account current market conditions and competitive factors;
  • Identifying a comprehensive list of prospective targets for the client;
  • Contacting prospective targets to gain specific insight into their businesses;
  • Managing the due diligence process;
  • Working with the client’s attorneys to review all requisite documents;
  • Negotiating the terms and conditions of the transaction; and
